Licence XP 32 to XP 64

On one cpu (dual xeon 3.6) XP 32, max 9 32bit, vray 1.5 RC3 32 bit I have vray licence.
This cpu I wanna to sale (of course erase all the data)… Now I have new cpu (dual xeon x5355) xp 64, max 9 64…
On this cpu I will now install vray 1.5 RC3 64-bit, but what I should do with licence? …transfer or obtain a new?
