True, you need a 64bit cpu to install xp64. And if those are the older xeons then they are only 32bit. AFAIK

further question:

given that older xeons cnt run 64 bit XP, will there be a problem if one system runs on 32 bit xp while others on 64 bit xp in a network. OR will problem on DR/ IR map calculation, etc arise?

Also for the record,
licenses for Windows XP are not interchangable between 32 and 64 bit versions. IE, you cannot install the 32bit version legally if you only have a 64 bit license.

when i installed my xp64 it has a message saying that your forfitting my 32bit liscence
basically it way the free deal they had where if you bought xp pro32 in a certain time frame you could change it for xp64
