How do I make proxy or how to import proxy files? Thanks.

You must select object, that you want to make a proxy, go to mesh menu and click Create proxy in tools menu (on the bottom) with attach mode for example New object (you will see simple mesh object with shape of old object). Blender will create proxy folder in the same destination folder as blend file. Now you can copy proxy model many times, and vray will save your RAM memory. Best way to use proxy is particle system for grass.

For importing you could also use: 3d viewport menu (Shift+A) -> Mesh -> V-Ray -> V-Ray Proxy

Vrmesh files are containing only geometry data.

I can't find in V-ray Blender 2.73 the "Parameters" where in properties I can add to any low poly object I place in scene a proxy I just created.

I have a small issue when I ma adding proxy like that maybe you know how to fix this. It's about scale and orientation on x, y axis. Added proxy seems to be extremely large and re-orientated -90 degrees on x axis. No difference if I hit crtl+A and apply scale and rotation. Any idea?
