Will a VRAY proxy built and exported from 2011, import and work okay in 2010 (same version of vray sp5)

Yes, it will be fine. But you can also save the file in 3ds Max 2010 format from 3ds Max 2011 (if you go to File > Save As... you have 3ds Max 2010 listed as a file format).
