My Proxy meshes come without materials . Modo 902 sp3 and Modo 10.

Are those V-Ray Proxies or MODO proxies ?
The V-Ray Proxy (.vrmesh file) doesn't contain material information.
You have to store and apply the materials separately.

Yes, it is best to use the V-Ray Proxy with V-Ray. It's most useful when you use it to replace very dense meshes. If you are just instancing a smaller mesh many many times, you don't really need it.
I am not sure what you mean by MODO proxies though. Just to be clear, MODO has:
Proxy (Add Item -> Procedural -> Proxy) - this basically references a single mesh item from a .lxo file with all of its materials.
V-Ray for MODO doesn't support these.
We will eventually have an item that can reference a .vrscene file and include in the parent scene all of the meshes (with their materials) and lights from the .vrscene.
Deferred Mesh (Add Item -> Procedural -> Deferred Mesh) - this is very similar to the V-Ray Proxy.
A mesh is stored in a .lxdf file without its materials but with only its material tags (like the .vrmesh file for V-Ray proxies).
We support the deferred mesh using the MODO Render Cache ( can be enabled from the global V-Ray preferences) or if you choose the GL type of the Deferred Mesh to be All GL Surfaces.
With the Deferred Mesh you lose a lot of the benefits of the V-Ray Proxy though, as V-Ray for MODO loads it like any other MODO mesh, whereas the V-Ray Proxy is loaded only at render time as needed.
